1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Syndicates website, platform, content, private community, indicators, course materials, support tools, and related services (collectively, the "Services"). The Services are operated by SYNDICATES TRADING LTD, company number 17252162, with registered office at 128 City Road, London, United Kingdom, EC1V 2NX("Company", "we", "us", or "our").

By creating an account, purchasing a membership, accessing paid content, or using the Services, you agree to these Terms, our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund Policy. If you do not agree, you must not use the Services.

These Terms are governed by the laws of England and Wales. Personal data is handled in accordance with the UK GDPR, the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations 2003 where applicable.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Services. During registration you must confirm your age. You are responsible for making sure that your use of the Services is lawful in your country of residence and any country from which you access the Services.

We do not knowingly provide Services to children. If we learn that an account was created by a person under 18, we may close the account and delete or restrict related data in line with our legal obligations.

3. Accounts and Security

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately if you suspect unauthorised access.

You may not share, sell, rent, transfer, or sublicense your account. We may suspend or close accounts that provide false information, abuse the Services, create security risk, or breach these Terms.

4. The Services

Syndicates is a private trading education platform. The Services may include video courses, trading education materials, market commentary, private community access, indicator access, free or member trading journals and backtesting tools, optional read-only journal share links, support, referral tracking, and account dashboards.

Educational content only. We do not provide regulated financial advice, investment advice, personal recommendations, portfolio management, brokerage services, execution services, or tax or legal advice. We are not authorised or regulated by the Financial Conduct Authority. You are solely responsible for your trading and investment decisions.

Trading financial instruments involves substantial risk of loss. You may lose all or more than your initial capital. Past performance, testimonials, examples, backtests, or community results are not guarantees of future results.

5. Membership, Billing and Taxes

Paid features require an active membership. Subscriptions are billed monthly in advance in GBP through Stripe. You authorise us and Stripe to process payments for purchases and recurring renewals you make.

Subscriptions automatically renew each month unless cancelled. You may cancel future renewals through the Stripe customer portal or by contacting support. Cancellation takes effect at the end of the current paid billing period unless Stripe presents another option.

Prices may exclude taxes, duties, bank charges, card issuer charges, or currency conversion costs unless stated otherwise. You are responsible for any taxes and charges that apply to your purchase, except taxes on our income.

Affiliate referrals, where offered, are calculated as 20% of the current monthly membership price for up to six paid months from the referred customer's first paid activation. Commissions only accrue while the referred customer has an active paid subscription. If the referred customer cancels and later subscribes again, that does not create a new referral or restart the six-month commission window.

6. Refunds and Digital Content

Our refund terms are set out in the Refund Policy. Because the Services include digital content supplied immediately after purchase, you may lose your statutory cancellation right once digital content supply begins, where permitted by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Before checkout you must confirm that you want immediate digital access and acknowledge that you may lose the 14-day cancellation right once supply of digital content begins, where permitted by law. When you click play on a paid video lesson, our systems record that access for refund, chargeback, security, and legal evidence purposes. We may also rely on other evidence of paid feature use (for example indicator claims, Discord linking, or account activity) where relevant. Nothing in these Terms excludes rights that cannot be excluded under UK consumer law, including rights relating to faulty, misdescribed, or non-conforming digital content.

7. Intellectual Property

All course videos, text, frameworks, indicators, graphics, software, branding, templates, community materials, and other content made available through the Services are owned by us or our licensors and are protected by copyright, trade mark, database right, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access the Services for your own personal educational use. You must not copy, download, screen-record, redistribute, resell, publish, scrape, reverse engineer, or commercially exploit the Services or content without our prior written consent.

8. User Content and Community Conduct

You retain ownership of content you submit through support, Discord, account forms, trading journals, or other interactive areas. You grant us a worldwide, royalty-free licence to use that content as necessary to operate, secure, moderate, host, display (including via share links you enable), and improve the Services.

If you create a public or link-based journal share, you are responsible for what that link exposes and for disabling sharing when you no longer want the content available.

You must not submit unlawful, defamatory, abusive, hateful, misleading, infringing, or harmful content. We may remove content, restrict features, or terminate accounts where we reasonably believe there has been a breach of these Terms or our Acceptable Use Policy.

9. Prohibited Use

You must not:

  • use the Services for unlawful activity, fraud, market manipulation, or financial crime;
  • circumvent paywalls, access controls, watermarks, DRM-like controls, or usage limits;
  • share account credentials or allow another person to access paid content through your account;
  • attempt to disrupt, scan, attack, overload, or gain unauthorised access to our systems;
  • copy, sell, leak, record, scrape, or redistribute paid materials or private community content;
  • misrepresent your relationship with us or claim to be our partner, affiliate, or representative without authorisation;
  • use our content to provide financial advice or paid trading services to third parties.

10. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, create legal or security risk, abuse other users, misuse paid content, or if we are required to do so by law. On termination, your right to use the Services ends immediately, but provisions relating to intellectual property, payment obligations, disclaimers, limitation of liability, dispute resolution, and data retention continue where relevant.

You may request account deletion through your account settings or by contacting us. Some data may be retained where required for legal, accounting, fraud prevention, dispute handling, or security purposes.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, specific trading outcomes, account funding, payouts, profitability, or that content will meet your expectations.

We use reasonable care and skill in providing the Services. Nothing in these Terms affects statutory rights that cannot be excluded under UK consumer law.

12. Limitation of Liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory rights that cannot be excluded, or any other liability that cannot lawfully be limited or excluded.

To the fullest extent permitted by law, we are not liable for indirect, consequential, special, incidental, punitive, or business losses, including loss of profit, trading losses, loss of data, loss of goodwill, loss of opportunity, or losses caused by your trading decisions. Our aggregate liability for claims relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim or GBP 100.

13. Indemnity

If you use the Services for business purposes, you agree to indemnify us against losses, claims, damages, costs, and expenses arising from your breach of these Terms, unlawful use of the Services, misuse of our content, or infringement of third-party rights. This clause does not reduce mandatory rights available to consumers under applicable law.

14. Governing Law and Courts

These Terms and any non-contractual disputes are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers may also have the right to bring claims in the courts of the country where they live if mandatory consumer law gives them that right.

Before starting court proceedings, you agree to contact us first so we can try to resolve the issue informally. This does not prevent either party from seeking urgent injunctive relief to protect intellectual property, confidential information, security, or platform integrity.

15. Changes to These Terms

We may update these Terms to reflect changes in our Services, law, payment model, security controls, or business operations. Material changes will be posted on this page and, where appropriate, notified by email or in-app notice to the email address on your account. Continued use after changes take effect means you accept the updated Terms, except where mandatory law requires a different process.

16. General

If any provision is found invalid or unenforceable, the remaining provisions remain in force. We may assign these Terms as part of a merger, acquisition, restructuring, or sale of assets. You may not assign your rights without our written consent. These Terms and the policies referenced in them form the entire agreement between you and us regarding the Services.
