1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Syndicates platform, website, content, and community services (collectively, the "Services"), operated by SYNDICATES, a selvejende institution uden selskabsform registered in Denmark with CVR-nummer [CVR-nummer tilføjes]("Institution", "Company", "we", "us", or "our"). Our Services are available to users worldwide, subject to these Terms and all applicable local laws. By creating an account, accessing, or using our Services, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and Refund Policy. If you do not agree, you must not use our Services.

These Terms are governed by the laws of Denmark, including the EU General Data Protection Regulation ("EU GDPR" or "GDPR") and the Danish Data Protection Act.

2. Definitions

  • "User", "you", or "your" means any individual who accesses or uses the Services.
  • "Content" means all text, images, videos, audio, software, data, and other materials available through the Services.
  • "Member Content" means any content that Users submit, post, or transmit through the Services, including support messages and TradingView username claims.
  • "Membership" means paid access to the Services, whether provided through a fixed access period, invoice, or recurring subscription.

3. Eligibility

You must be at least 18 years old to use our Services. By registering, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are registering on behalf of a legal entity, you represent that you have authority to bind that entity.

We do not knowingly collect data from children under 16. If we learn that we have collected personal data from a child under 16, we will delete it immediately.

You are responsible for ensuring that your access to and use of the Services is lawful in your jurisdiction. We make no representation that the Services are appropriate or available for use in all locations worldwide.

4. Account Registration and Security

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are solely responsible for safeguarding your password and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We support two-factor authentication (2FA) and strongly encourage you to enable it.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

5. Description of Services

Syndicates is a private subscription-based trading education community. Our Services include:

  • Access to video-based trading courses, modules, and lessons;
  • Trading indicator access for approved members (via TradingView);
  • Community access via our private Discord server;
  • In-app support messaging;
  • Referral and affiliate tracking; and
  • Administrative dashboards and analytics for authorized users.

Educational Purpose Only: All content, tools, indicators, and community discussions provided through the Services are for educational and informational purposes only. Nothing on the platform constitutes financial, investment, legal, tax, or professional advice. We do not provide recommendations to buy, sell, or hold any financial instrument. All trading and investment decisions are solely your responsibility.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

6. Membership, Billing and Cancellation

6.1 Membership Terms

Access to paid features requires an active Membership. During launch, the current fee is GBP 49.00 for 30 days of access, billed in advance via Stripe. All prices are exclusive of applicable taxes, duties, or levies, which are your responsibility. You are responsible for any currency conversion fees or local taxes imposed by your jurisdiction.

6.2 Billing

Payments are processed by Stripe, Inc. You authorize us to charge your chosen payment method for all fees incurred. If payment fails, we may suspend your access until payment is received. Fixed-period launch payments do not automatically renew.

6.3 Renewal and Cancellation

Fixed-period launch access expires at the end of the paid access period and does not require cancellation. If we later provide recurring subscriptions, those subscriptions will renew until cancelled through the Stripe Customer Portal or by contacting support.

We reserve the right to change membership fees upon reasonable notice. Fee changes will apply to future renewal periods or future purchases after notice is provided.

6.4 No Refunds After Content Access

Due to the immediate nature of digital educational content, you expressly acknowledge and agree that once you click "play" on any video lesson or otherwise begin accessing course content, indicators, Discord community, or any subscriber-only material, you are no longer eligible for a refund under any circumstances. By purchasing Membership, you expressly consent to the immediate performance of the Service and waive any statutory right of withdrawal under applicable consumer protection law that would otherwise apply to digital content, to the extent permitted by law. 7. Intellectual Property

All Content, including but not limited to videos, text, graphics, logos, icons, images, audio clips, software, and course materials, is the exclusive property of the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial educational purposes only. You may not:

  • Reproduce, distribute, publicly display, or create derivative works from any Content;
  • Share login credentials or allow others to access your account;
  • Download, screen-record, or scrape course videos or materials for redistribution;
  • Reverse-engineer, decompile, or disassemble any software component;
  • Use our trademarks or branding without prior written consent.

Any unauthorized use terminates the license granted by these Terms and may constitute infringement.

8. User Content

You retain ownership of any Member Content you submit. By submitting Member Content, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Services.

You represent and warrant that your Member Content does not violate any third-party rights, including intellectual property or privacy rights, and does not violate these Terms or any applicable law.

We reserve the right, but not the obligation, to monitor, review, or remove any Member Content at our sole discretion.

9. Prohibited Conduct

You agree not to use the Services for any unlawful or prohibited purpose. Specifically, you may not:

  • Use the Services in any manner that violates any applicable local, national, or international law;
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation;
  • Engage in unauthorized access, hacking, password mining, or other security breaches;
  • Transmit any malware, viruses, worms, or other harmful code;
  • Spam, phish, or harvest email addresses or other personal data of other users;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Circumvent any access controls, paywalls, or subscription requirements;
  • Use the Services or Content to provide financial, investment, or trading advice to third parties;
  • Resell, sublicense, or commercially exploit access to the Services;
  • Share, sell, or transfer your account to another person.

Violation of these prohibitions may result in immediate termination of your account and may expose you to civil and criminal liability.

10. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

Upon termination:

  • Your right to use the Services immediately ceases;
  • All licenses granted to you terminate;
  • We may delete or archive your account data in accordance with our Privacy Policy;
  • Any accrued payment obligations survive termination.

You may delete your account at any time via your account settings or by contacting us. Deletion is subject to our data retention obligations under applicable law.

11. Disclaimers

THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing on the platform constitutes a recommendation, solicitation, or offer to buy or sell any security, derivative, or financial instrument. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that any defects will be corrected. No oral or written information provided by us creates any warranty.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SYNDICATES, its board members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) the Services, regardless of the theory of liability.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the claim, or (b) DKK 1,000.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your Member Content, your violation of these Terms, or your violation of any rights of another.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach, or termination, shall first be attempted to be resolved through good-faith negotiations between the parties.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may bring the dispute before the Maritime and Commercial Court (Sø- og Handelsretten) or the Copenhagen District Court (Københavns Byret) in Denmark, at our discretion. The language of the proceedings shall be Danish or English, as determined by the court. The court's judgment shall be final and binding on the parties.

Notwithstanding the above, either party may bring an action in the courts of Denmark, with venue in Copenhagen, for injunctive or other equitable relief to protect intellectual property rights or confidential information.

Consumers may have mandatory rights under the law of their country of residence that cannot be waived by agreement. Nothing in this section deprives you of the protection afforded by mandatory provisions of the law of your country of habitual residence.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, pandemic, or failure of telecommunications or internet services.

16. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with the "Last updated" date. Material changes will be notified to you via email or through the Services at least 30 days before taking effect. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

We will maintain a version history of these Terms. When you accepted these Terms, the version number was recorded in our systems. If a new version conflicts with a previous version, the current version prevails.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
